What does a tenant-representation broker do for a small business?

A tenant-representation broker helps a business define its space requirements, identify available properties, compare business terms, coordinate tours, prepare a letter of intent, and work through the real estate steps leading to occupancy. The broker represents the tenant's real estate interests; the tenant's attorney, accountant, lender, architect, and contractors address their respective legal, financial, and technical questions.

Who pays the tenant-representation broker?

Short answer: often the landlord, but not always, and you will see the terms in writing before the search starts. In many commercial lease transactions, the landlord offers compensation to the tenant's broker under a separate commission arrangement. That is not automatic in every property or transaction. The representation agreement and commission documents identify how the broker is compensated and whether the tenant has any payment obligation, so those terms are reviewed before the search proceeds.

When should I involve a broker in my search?

Bring a broker in before contacting several landlords or touring space on your own. An early conversation helps organize the intended use, location, access, parking, delivery needs, timing, approximate size, and budget. What is a tenant improvement allowance?

The proposal or lease may describe eligible work, approval steps, payment timing, documentation, construction responsibility, and what happens if costs exceed the allowance. A broker can compare the business impact of the allowance and delivery condition; the tenant's attorney and construction professionals should review the controlling documents and scope.

What can a personal guarantee cover in a commercial lease?

A personal guarantee is a negotiated promise by one or more individuals to answer for specified tenant obligations if the tenant entity does not perform. Its scope may address rent, other charges, damages, duration, limits, or conditions for reduction or release. A broker can explain how the proposed business terms compare with the rest of the deal, but the tenant should have its own attorney review the guarantee and lease before signing.

How do renewal options work?

A renewal option is a lease provision that may allow the tenant to extend the term if stated notice, timing, and other conditions are met. The provision may also describe how rent or other terms are determined for the extension. A broker can help track dates and discuss the business effect of the option. The tenant's attorney should interpret the language and advise on exercising it.

What are early-termination, assignment, and sublease provisions?

These are different lease mechanisms. An early-termination right may permit an agreed exit when its conditions are satisfied. An assignment may transfer the tenant's lease interest, while a sublease may place another occupant in some or all of the space without necessarily releasing the original tenant. Landlord consent, continuing liability, fees, timing, and other conditions vary. The tenant should have its own attorney review these provisions and any related documents.

What do CCIM and SIOR designations mean?

CCIM stands for Certified Commercial Investment Member. SIOR stands for Society of Industrial and Office Realtors. They are separate commercial real estate designations associated with their respective professional organizations. A designation is one factor a tenant may consider alongside relevant property experience, local knowledge, communication, conflicts, and the proposed scope of representation. Clients can ask a designation holder to explain and verify current standing.

Is my lease requirement large enough for tenant representation?
